01 / PURPOSE

Why the company intends to hold equity

01

Long-term value

To take part in the long-term development of well-run businesses, rather than in short-term trading.

02

Active stewardship

To support governance and performance through the informed exercise of ownership rights.

03

Capital discipline

To deploy the company's own capital only where risks are understood and the case is documented.

Intended direction

The holding activity uses the company's own capital. It does not involve raising funds from the public, accepting money from third parties for investment, managing funds or managing assets on behalf of clients.

Evaluation criteria

Each opportunity is considered against six criteria. The questions below indicate what the company intends to look for.

01

Business model

Is the way the business creates and captures value clear and defensible?

02

Governance

Are ownership, decision rights and reporting clear, and is management accountable?

03

Operating performance

Does the business operate consistently, with reliable processes and information?

04

Cash flow

Does the business generate sustainable cash flow, or have a credible path to it?

05

Risk

Are the material commercial, legal, financial and operational risks identified and manageable?

06

Long-term prospects

Is there a sound basis for the business to remain relevant and grow over time?

Intended direction

The criteria describe how opportunities are intended to be assessed. They are not a record of transactions completed, capital committed, holdings or markets in which the company is active — none of which is published on this website.

04 / PARTICIPATION

Forms of participation

Depending on the opportunity and the approved plan, the company may:

  • subscribe for new shares or make a capital contribution;
  • acquire existing shares from current shareholders;
  • acquire capital contribution portions, where the business is organised as a limited liability company.

Each form is funded from the company's own capital and is subject to an approved plan, due diligence and the law of the relevant jurisdiction.

Defined rights

Both sides test the fit against the criteria and each other's expectations.

    Confidentiality terms

Confidentiality is agreed before financial statements or other detailed information are shared.
